1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and FluxFrame ("Company," "we," "us," or "our") governing your access to and use of our AI-powered video generation platform, website, and related services (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Services.

These Terms apply to all users, including visitors, registered users, and paying customers.

2. Eligibility and Account Registration

2.1 Age Requirement

You must be at least 18 years of age to use the Services. By using the Services, you represent and warrant that you meet this age requirement.

2.2 Account Creation

To access certain features, you must create an account by providing:

• Accurate, current, and complete information
• A valid email address
• A secure password

2.3 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use

We reserve the right to suspend or terminate accounts that violate these Terms or engage in suspicious activity.

2.4 Business Use

If you are using the Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

3. Description of Services

FluxFrame provides an AI-powered platform that transforms product images into professional video content. Our Services include:

• AI-driven video generation from uploaded images
• 9:16 aspect ratio video output optimized for social media
• HD and 4K quality video rendering (depending on subscription plan)
• Video storage and management
• Download and export capabilities

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice, for any reason.

4. Subscription Plans and Pricing

4.1 Subscription Tiers

We offer the following subscription plans:

• Free Trial: 3 video generations for new users
• Starter Plan: $29/month - 10 videos per month
• Growth Plan: $99/month - 40 videos per month
• Studio Plan: $250/month - 100 videos per month

4.2 Billing and Payment

• All subscriptions are billed monthly in advance
• Payments are processed securely through Stripe
• You authorize us to charge your payment method on file
• Failed payments may result in service suspension
• All prices are in British Pounds (GBP) and include applicable VAT

4.3 Price Changes

We reserve the right to modify our pricing at any time. Price changes will not affect your current billing cycle and will take effect at the start of your next billing period. We will provide at least 30 days' notice of any price increases.

4.4 Usage Limits

• Video generation quotas are based on your subscription plan
• Unused video generations do not roll over to the next billing period
• Each billing period starts with your full plan allowance
• Exceeding your quota requires upgrading to a higher plan

5. Cancellation and Refunds

5.1 Cancellation

You may cancel your subscription at any time through your account dashboard. Cancellation will take effect at the end of your current billing period. You will retain access to paid features until the end of your billing cycle.

5.2 Refund Policy

We offer a 7-day money-back guarantee for new subscriptions. If you are not satisfied with our Services within the first 7 days of your initial subscription, contact us at support@fluxframe.app for a full refund.

Refunds are not available:

• After the 7-day period
• For subscription renewals
• For partial billing periods
• If your account has been terminated for violations

5.3 Plan Changes

You may upgrade your plan at any time with immediate effect. Downgrades take effect at the start of your next billing cycle. We do not provide prorated refunds for downgrades.

6. User Content and Intellectual Property

6.1 Your Content

You retain all ownership rights to the images you upload ("User Content"). By uploading User Content, you grant us a limited, non-exclusive, worldwide license to:

• Process your images through our AI systems
• Generate videos based on your images
• Store your content securely on our servers
• Display your content within your account

This license ends when you delete your content or terminate your account.

6.2 Generated Videos

You own all rights to the videos generated by our Services from your User Content. You have full commercial rights to use, modify, distribute, and sell these videos without attribution to FluxFrame.

6.3 AI Training

We do NOT use your User Content or generated videos to train our AI models without your explicit written consent. Your content remains private and confidential.

6.4 Our Intellectual Property

All aspects of the Services, including our AI technology, software, algorithms, user interface, and branding, are owned by FluxFrame and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of our Services.

7. Acceptable Use Policy

You agree NOT to use the Services to:

• Upload content that you do not own or have rights to use
• Generate videos containing illegal, harmful, or offensive content
• Violate any third-party rights, including intellectual property, privacy, or publicity rights
• Upload images depicting minors, explicit content, or violence
• Attempt to circumvent usage limits or security measures
• Engage in automated or excessive use that impacts system performance
• Resell or redistribute our Services without authorization
• Use the Services for fraudulent or deceptive purposes
• Reverse-engineer, decompile, or attempt to extract our algorithms
• Transmit viruses, malware, or malicious code

Violation of this Acceptable Use Policy may result in immediate account suspension or termination without refund.

8. Content Moderation and Removal

We reserve the right, but are not obligated, to:

• Monitor User Content for compliance with these Terms
• Remove or refuse to process any content that violates these Terms
• Suspend or terminate accounts that repeatedly violate our policies
• Report illegal content to appropriate authorities

We employ automated and manual content moderation systems, but cannot guarantee detection of all prohibited content.

9. Data Protection and Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Services, you consent to our data practices as described in the Privacy Policy.

We comply with UK GDPR, the Data Protection Act 2018, and other applicable data protection laws.

10. Third-Party Services

Our Services integrate with third-party technologies, including:

• OpenAI and kie.ai for AI video generation
• Stripe for payment processing
• Supabase for data storage

These third parties have their own terms and privacy policies. We are not responsible for their practices or any issues arising from their services.

11. Disclaimers and Limitations of Liability

11.1 Service Availability

The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee:

• Uninterrupted or error-free operation
• Specific quality or accuracy of generated videos
• Compatibility with all devices or browsers
• Permanent availability of any feature

11.2 AI-Generated Content

Videos are generated by AI technology, which may produce unexpected or imperfect results. We do not guarantee the quality, accuracy, or suitability of generated content for any specific purpose. You are responsible for reviewing and approving all videos before use.

11.3 Limitation of Liability

To the fullest extent permitted by law, FluxFrame shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or data
• Business interruption
• Loss of goodwill or reputation
• Cost of substitute services

Our total liability to you for all claims shall not exceed the amount you paid us in the 12 months preceding the claim, or £100, whichever is greater.

11.4 User Responsibility

You are solely responsible for:

• Ensuring you have rights to upload and use your content
• Compliance with applicable laws when using generated videos
• Obtaining necessary permissions or licenses for commercial use
• Any claims arising from your use of generated content

12. Indemnification

You agree to indemnify, defend, and hold harmless FluxFrame, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from:

• Your use of the Services
• Your User Content or generated videos
• Your violation of these Terms
• Your violation of any third-party rights
• Your violation of applicable laws or regulations

13. Termination

13.1 Termination by You

You may terminate your account at any time by:

• Canceling your subscription through your account settings
• Contacting us at support@fluxframe.app

13.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if:

• You violate these Terms or our Acceptable Use Policy
• Your account is used for fraudulent or illegal activity
• Your payment method fails or you have outstanding fees
• We are required to do so by law
• We decide to discontinue the Services

13.3 Effect of Termination

Upon termination:

• Your right to use the Services immediately ceases
• We may delete your account and User Content after 30 days
• You remain liable for any outstanding fees
• Sections of these Terms that should survive termination will continue to apply

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by:

• Posting the updated Terms on our website
• Sending email notifications to registered users
• Displaying a notice within the Services

Changes become effective 30 days after notification, or immediately for legal or security reasons. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

15. Dispute Resolution

15.1 Informal Resolution

Before filing a formal dispute, please contact us at support@fluxframe.app to attempt to resolve the issue informally. We are committed to working with you in good faith.

15.2 Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

15.3 Jurisdiction

Any disputes arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of England and Wales. However, we may seek injunctive relief in any jurisdiction to protect our intellectual property rights.

15.4 Class Action Waiver

To the extent permitted by law, all claims must be brought in an individual capacity and not as part of a class action or collective proceeding.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published on our website, constitute the entire agreement between you and FluxFrame.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

16.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

16.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

16.6 Survival

Provisions that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity obligations, and limitations of liability.
